Thank you for your interest in our Affiliate Program. Our Affiliates are our associates in the goal of providing wider access to persons interested in movies and movie makers. Following is the Affiliate Agreement which will allow you to join us.

 

Affiliate Agreement

 

  1. AFFILIATE AGREEMENT:   This document outlines the terms and conditions agreed between LIFE IS A MOVIE and any person or entity who applies to become a formal Affiliate member of LIFE IS A MOVIE for the purpose of directing customers to and/or receiving commission on "click-though" sales from his/her/its URL/web site (hereinafter "the Affiliate").

  2. PRIVACY:   LIFE IS A MOVIE will not sell, lend, or disclose any private information about its users or Affiliates to any third party.

  3. AFFILIATE QUALIFICATION:   The Affiliate affirms that he/she is at least 18 (eighteen) years of age, or that it is a legal entity, such as a corporation. LIFE IS A MOVIE reserves the right to refuse or accept any formal Affiliate relationship at its sole discretion.

  4. ACCURACY OF INFORMATION PROVIDED BY AFFILIATE:   The Affiliate agrees and affirms that all information which it provides to LIFE IS A MOVIE or its members shall be current, truthful and accurate.

  5. AFFILIATE PROGRAM:   LIFE IS A MOVIE’s Affiliate Program is an information and revenue sharing opportunity for any click-through traffic and/or sales from the URL/website registered by the Affiliate after acceptance into the Affiliate Program. Every formal Affiliate will have the opportunity to accept our Affiliate Commission Program.

a.  The Affiliate’s commission rate will be increased as higher total click-through sales accumulate.

b.  Sales totals upon which the Affiliate’s commissions are based are cumulative during the calendar year.

c.  Each time a higher commission rate is attained by the Affiliate during the calendar year, the Affiliate will earn commission at that higher rate for the rest of that calendar year.

  1. AFFILIATE COMMISSION PROGRAM STRUCTURE:   a.  Unless otherwise agreed in writing prior to the submission of an application for affiliation, the commission structure is 10% (ten percent) of gross click-through sales.

a.  LIFE IS A MOVIE reserves the right to change the commission structure upon five (5) days notice to Affiliates.

b.  The Affiliate shall be furnished a link by LIFE IS A MOVIE which will allow The Affiliate to view, in real time, the click-through traffic and resulting click-through sales information for traffic originating from the Affiliate’s URL/website.

  1. PAYMENT AND ACCOUNTING

a.  Payments to the Affiliate shall be due and payable monthly in each month that the Affiliate attains a cumulative commission balance due of at least US$10.00 (ten US dollars).

b.  Payments to affiliates will be made monthly within 15 days of the end of the calendar month, subject to (a) above.

c.  LIFE IS A MOVIE may determine, at its sole discretion, in what manner to pay the Affiliate, either by

  i.  A paper check;

 ii.  An online check;

iii.  A credit to the Affiliate’s credit card; or

 iv.  Any other method of payment that results in moneys due the Affiliate being received by the Affiliate in US dollars or the current international equivalent if the Affiliate is based outside the US.

  1. DISCONTINUATION OF AFFILIATE PROGRAM: LIFE IS A MOVIE reserves the right to discontinue the Affiliate Program or the Affiliate relationship at its sole discretion upon 5 (five) days notice to the Affiliate.

  2. INDEMNIFICATION: By accepting the terms of this agreement, the Affiliate agrees to indemnify and hold harmless LIFE IS A MOVIE, its directors, officers, shareholders, employees, agents and third parties from any and all damages arising from the Affiliate’s membership in and use of LIFE IS A MOVIE.

  3. OWNERSHIP: The contents of the LIFE IS A MOVIE web site, www.lifeisamovie.com, are the sole proprietary property of LIFE IS A MOVIE.

  4. NO WARRANTY: LIFE IS A MOVIE provides service on an as-is basis without warranty, either expressed or implied.

  5. REVISIONS TO AGREEMENT: LIFE IS A MOVIE will notify all active Affiliates of any change to the Affiliate Program and may post any revisions to the Affiliate Program to its Affiliate information page at www.lifeisamovie.com.

  6. AFFILIATE BANNERS AND LINKS: LIFE IS A MOVIE will provide an area on its website in which the Affiliate’s banners and/or links to the Affiliate’s website may be displayed at the Affiliate’s request. Should the Affiliate wish to post a banner on www.lifeisamovie.com, the Affiliate shall supply the graphics and link to LIFE IS A MOVIE. LIFE IS A MOVIE may determine size and placement of the banner/link at its sole discretion.

  7. NO PARTNERSHIP: Nothing contained in this Agreement shall be construed to create a partnership, employer-employee relationship or joint venture between the Affiliate and LIFE IS A MOVIE. Neither party shall have the power or authority to bind the other in any respect, it being intended that each party remain an independent contractor responsible for its own actions.

  8. TERMINATION:

a.  LIFE IS A MOVIE reserves the right to terminate the Affiliate’s membership, at it’s sole discretion, upon five (5) days written notice to The Affiliate.

b.  The Affiliate may cancel its Affiliate membership at any time upon five (5) days written notice to LIFE IS A MOVIE.

  1. GOVERNING LAW: This agreement is entered into in the County of San Diego, State of California and shall be governed by the laws of the State of California, County of San Diego or, in case of incorporation, in the state in which LIFE IS A MOVIE incorporates.

  2. RESOLUTION OF CONTROVERSY: Should any legal dispute arise between the Affiliate and LIFE IS A MOVIE, LIFE IS A MOVIE and the Affiliate agree to seek formal arbitration to settle any such dispute as defined by the laws governing arbitration in the State of California. The decision in any such arbitration shall be binding on both parties. Should any litigation be commenced, any question or controversy arising hereunder shall be interpreted and governed under and by the laws of the State of California, United States of America, and jurisdiction and venue for the resolution of said question or controversy shall be in the County of San Diego, State of California or, in case of incorporation, in the state in which LIFE IS A MOVIE incorporates. The party prevailing in any such arbitration or litigation shall be entitled, in addition to such other relief as may be granted, to its reasonable attorney's fees.

Definitions:

Affiliate - An Affiliate is any person or entity that agrees to the terms and conditions of this Affiliate Terms/Agreement, submits an Affiliate Application to LIFE IS A MOVIE and is accepted by LIFE IS A MOVIE to participate in the Affiliate Program.

Click-Through - A visitor to www.lifeisamovie.com is considered a "click-through" each time he/she arrives at www.lifeisamovie.com by clicking on the official banner/link on the Affiliate’s web page. A visitor who does not "click through" an Affiliate’s website and www.lifeisamovie.com‘s official banner is not considered a "click through."

Click-Through Sale - A click-through sale is a sale to any visitor that enters www.lifeisamovie.com by clicking on the banner in an The Affiliate’s registered URL.
